The justification for the content regulation of standard terms in consumer contracts cannot be offered by the market position or bargaining power of the drafter; it is to be found in the informational asymmetry plaguing the consumer and triggering inefficient risk allocations which end up in a systemic market failure. This rationale, however, cannot be relied upon when dealing with B2B transactions.
