Profili giuslavoristici nelle operazioni transfrontaliere

Legislative Decree 2 March 2023, n. 19, has implemented EU Directive 2019/2121, dictating harmonized regulations on cross-border transformations, mergers and splits (so-called cross-border operations). From a labor law perspective, in order to guarantee adequate protection for the workers affected by these operations, the decree regulated their participation in the management of the companies resulting from the transformation processes (art. 16), merger (artt. 39 and 40) and division (art. 50) carried out cross-border.

Il d.lgs. 2 marzo 2023, n. 19, ha recepito la direttiva UE 2019/2121, dettando una disciplina armonizzata in materia di trasformazioni, fusioni e scissioni transfrontaliere (c.d. operazioni transfrontaliere). Sotto il profilo giuslavoristico, al fine di garantire una adeguata tutela per i lavoratori interessati da tali operazioni, il decreto ha regolamentato la partecipazione degli stessi nella gestione delle società risultanti all’esito dei processi di trasformazione (art. 16), fusione (artt. 39 e 40) e scissione (art. 50) operati in via transfrontaliera.
