Certified B-Corps and Benefit Corporations in the Italian Legal System

Italy has been the !rst country in the world to transplant the U.S. bene!t corporation model (so-called “società bene!t” or SB) into its legal system at the end of 2015. After four years from their introduction, società bene!t seem to be widely accepted and the movement continues to grow. Furthermore, the Italian legal system continued to support the diffusion of the SB model, e.g., through the 2019 amendment of the “Public Contract Code” that introduced new reward criteria based on the publication of an annual report measuring the positive social and environmental impact of the company.

L’Italia è stato il primo Paese al mondo, nel 2015, a trapiantare all’interno del proprio ordinamento il modello statunitense delle bene!t corporation (c.d. “società bene!t” o SB). A quattro anni dalla loro introduzione, le società bene!t sembrano essere ampiamente accettate e il movimento continua a crescere. Inoltre, l’ordinamento italiano continua a supportare la diffusione del modello SB, e.g., attraverso la modi!ca, nel 2019, del “Codice dei contratti pubblici” che ha introdotto nuovi criteri premiali legati alla pubblicazione, da parte delle società, di apposita relazione annuale volta a misurare l’impatto sociale e ambientale positivo generato dall’impresa.
