I Golden Powers dalla stagione delle privatizzazioni alle congiunture emergenziali: l'eterno ritorno dello stato nell'economia

This article analyzes in a comparative way the genesis of the so-called golden powers in the Anglo-Saxon, French and Italian legal systems and the reaction of the EU institutions regarding the compatibility of this institution with the law of the Treaties. The article then focuses on the Euro-unit and Italian legislation that has intervened in recent years, both to protect the key sectors of the economy from foreign direct investments and to cope with the risks for businesses related to the tragic situation linked to the Covid-19 pandemic and the war in Ukraine. The analysis of the legislation aims to demonstrate how, over the years, golden powers have changed their function, passing from an instrument used to accompany the privatization of public companies to a permanent mechanism for intervention in the economy by the State to protect strategic sectors.

Il presente articolo analizza in chiave comparata la genesi dei c.d. golden powers negli ordinamenti anglosassone, francese e italiano nonchè la reazione delle istituzioni comunitarie circa la compatibilità di tale istituto con il diritto dei Trattati. L’articolo si focalizza, in seguito, sulla legislazione eurounitaria ed italiana intervenuta negli ultimi anni, sia per proteggere i settori chiave dell’economia dagli investimenti esteri diretti sia per far fronte ai rischi per le imprese riconnessi alla tragica congiuntura legata alla pandemia da Covid19 e alla guerra in Ucraina. L’analisi della normativa mira a dimostrare come, nel corso degli anni, i golden powers abbiano mutato la loro funzione, passando da strumento adoperato per accompagnare le privatizzazioni delle imprese pubbliche a meccanismo - di fatto permanente - di intervento nell’economia da parte dello Stato a tutela dei settori strategici.
