I soci e il risanamento: riflessioni a margine dello schema di legge-delega proposto dalla Commissione di riforma

The article deals with the proposals for a new discipline concerning restructuring procedures recently drafted by the Government-appointed Commission and currently submitted to the Parliament for approval. In particular, the paper focuses the role of shareholders in financially critical contexts, aiming and highlighting the situations in which shareholders’ and companies’ approaches inevitably differ and those in which an involvement of the shareholders may offer better opportunities for the company to go through the turnaround process successfully.
